Challenge Rules
Prepr Foundation (“Prepr”) is pleased to present the Beyond Covid-19: Global Open Innovation Challenge (the “Challenge”) – part of Prepr’s Future Sustainability Challenge Series. The Challenge is sponsored by Prepr Foundation and its consortium of partners (“Sponsor”). References below to Prepr include a reference to Sponsor (except for references to Prepr network, Platform, Prepr Platform Terms of Use and Prepr’s Learn Lab Kit).
The Challenge is governed by the rules set out below. By entering the Challenge, you agree to abide by the rules and decisions of Prepr and the Challenge judges. You also agree to comply with all applicable laws. The Challenge is void to the extent prohibited or restricted by law.
THE RULES
1. Challenge Purpose
The Challenge is an opportunity for you to create an innovative product or service solution (the “Project”), in order to address a UN SDG problem using the PIE method and digital Learn Lab Kit. At the end of the Challenge, you may submit your Project for judging in accordance these rules.
Venue and Date
The Challenge will take place virtually at https://preprlabs.org or through the iOS or Android App on April 30 through June 30, 2020.
2. Eligibility – Entrants
The Challenge is for all citizens including high school students, post-secondary students, start-ups, and employees of public and private sector organizations. You may only enter the Challenge if you are an individual and, at the time of entry (1) you are at least 13 years old. The Prepr Platform is rank based, depending on the level of experience, the number of Projects created and activity in the Prepr Platform. In order to be eligible to participate in the Challenge, you are required to have a minimum rank of 0. You are not required to make any purchase or pay any fee to enter or win the Challenge, except some prizes may be limited to Canadian residents only. Prepr may at any time in its sole discretion disqualify any entrant for any reason, including any entrant] who does not meet the Challenges eligibility criteria, fails to comply with these rules or the Prepr Platform Terms of Use, attempts to enter the Challenge in any manner or through any means other than as described in these rules, attempts to disrupt the Challenge or attempts to circumvent any of these rules. How to Enter; Submissions In order to enter the Challenge, you must join the Prepr Network by registering to use the Prepr Platform at [https://preprlabs.org] and registering to create a profile. You must enter the required information accurately and accept the Prepr Platform Terms of Use displayed as part of the registration process. Any personal information that you provide as part of the registration process will be governed by our Privacy Policy available at [https://prepr.org/privacy-policy] and these rules.
Once you have registered, you will be able to create Projects on the Prepr Platform to showcase your talent with a team that is set up by the registrant. You will officially be entered as a participant in the Challenge if and when you select the Challenge and submit your Project. [If you have created the Project jointly with others,] the Project should not be submitted unless all contributors
(i) agree to submit the project, and
(ii) are in agreement with these rules and the Prepr Platform Terms of Use. All Projects must be created in and submitted through the Prepr Platform. All Project submissions must be received by June 10th, 2020 by 11:59 pm.
It is your responsibility to ensure that your Project has been properly submitted and that you are therefore entered in the Challenge. Prepr will not be responsible for incorrect, delayed, misdirected, illegible, incomplete, or undeliverable Projects, or any delay or failure to transmit, process, receive or consider entries. All Project submissions must be relevant and responsive to the Challenge problem. You acknowledge that Prepr is not under any obligation to accept your Project submission. You acknowledge that during the Challenge, Prepr will be active on social media with you and other participants and with the wider community. You acknowledge that once a Project is submitted, the privacy of that Project changes from the pre-sets in your account to being publicly displayed and you consent to such public display.
3. Your Project
The Project you develop in connection with the Challenge must meet all of the following criteria:
(a) It must further the United Nations efforts for the Sustainable Development Goals, otherwise known as the Global Goals, which are a universal call to action to end poverty, protect the planet and ensure that all people enjoy peace and prosperity.
(b) It must be licensed under an open source licence for the community to be able to continue to build on for greater good of humanity.
(c) It must not contain, depict or refer to any crude, vulgar, obscene, sexually explicit, disparaging, discriminatory, offensive, illegal or otherwise unsuitable language, activity or other content (all as determined by Prepr in its sole discretion).
(d) It must not contain, depict or refer to any content which disparages or refers negatively to Prepr, the Challenge, or any other person or entity (all as determined by Prepr in its sole discretion).
(e) It must not conflict with any of Prepr’s core values, or otherwise be objectionable to Prepr (as determined by Prepr in its sole discretion).
(f) It must not contain any content that violates any law or any third party’s rights (including privacy, personality and intellectual property rights).
(g) It must have been created only during the Challenge, although you may have worked on your designs, wireframes and mock-ups in advance.
(h) It must meet all other guidelines and criteria otherwise communicated by Prepr on the Prepr Platform or at the Challenge.
Prepr may disqualify any Project submission if it determines (in its sole discretion) that the Project does not comply with the above requirements or otherwise with these rules.
4. Your Conduct
You agree not to be malicious or try to farm ideas of others or steal other teams project concepts or try to break into users accounts to take the project data of others. Prepr may disqualify you in the event of any such conduct. Prepr may also disqualify any individual who tampers with or in any way corrupts the entry or voting process, or who attempts to undermine the legitimate operation of the Challenge by cheating, hacking, deception, or other unfair practices, or by attempting to annoy, abuse, threaten or harass any other entrants, the Challenge judges or representatives of Prepr.
5. Your Additional Representations and Warranties
By submitting a Project you represent and warrant that:
(a) You are the original creator of the Project (or, if you created the Project with other participants in the Challenge, you are the original creator of your contributions to the Project);
(b) You are the sole owner of the copyright and all other rights in the Project and all content in and on the Project (or, if you created the Project with other participants in the Challenge, you are the sole owner of the copyright and all other rights in your contributions to the Project);
(c) Prepr will not infringe or violate any third party’s intellectual property, privacy, personality or other rights when it copies, displays, edits, modifies, transmits or otherwise uses the Project in connection with the Challenge or the publication the Challenge or any future Prepr event; and
(d) the Project meets all of the eligibility requirements set out in these rules.
(e) The Project must be licensed under an open source license for the betterment of society
6. Voting and Judging Process
Prepr will select the top Project(s) in their sole discretion on June 30th, 2020. Decisions of the judges will be final and binding.
7. Winners
Participants who have been selected to receive a prize will be notified virtually through the Prepr Network and later, by email. In order for a participant to be declared a Challenge winner and be eligible for a prize, he or she must have complied with, and remain in compliance with, these rules, and must, if requested by Prepr, sign and deliver to Prepr (within 10 days after Prepr’s request) a declaration and release form, which will include: a declaration of the participant’s compliance with these rules, an acceptance of the prize as awarded, a publicity release, a liability release, and any other documentation that Prepr may require. Prepr may request valid proof of identity, residency, age and other relevant documentation and may disqualify a participant if it determines (in its sole discretion) that the provided proof is not sufficient. If the prize notification is returned as undeliverable or if a selected participant does not comply with all of the above requirements within the above time frames, or does not otherwise comply with these rules, Prepr may disqualify the winner, and the Challenge judges may select a replacement winner. The changes of winning will depend upon the number of entrants. Winners will be selected based on their skill, quality of submission, and team makeup.
8. Prizes
There are a maximum of 20 prizes to be won, with a total approximate retail value of $100,000. These prizes will be awarded to the top finalists (as chosen by the Challenge judges) as follows:
First Place:
- $25,000 AWS Credits
- $750 towards registration and incorporation of a business
- Learn Lab Kits for team (Valued at $499.99)
Second Place:
- Up to $25,000 AWS Credits
- Learn Lab Kits for team (Valued at $499.99)
Third Place:
- Learn Lab Kits for team (Valued at $499.99)
Most Innovative:
- $25,000 AWS Credits
- Learn Lab Kits for team (Valued at $499.99)
Best Design:
- $25,000 AWS Credits
- Learn Lab Kits for team (Valued at $499.99)
After the Challenge
The best projects that become start-ups will be heavily supported. These include and are not limited to:
- Access to funding from both public and private sector organizations and government with help from PyCap Ventures & Prepr
- Guidance in business strategy, implementing pilots, and bringing the product to market
- Enrollment into FASKEN’s start-up program (Valued at $2,000)
- Get a 50% discount on MedStack’s month-to-month Startup Package subscription for 6 months (savings of $3,747), or a 50% discount for 12-months on an annual subscription (savings of $6,000).
- Complimentary 1 hour consulting on the business model for the top projects on each challenge plus providing longer term commercialization support for the grand award winner by BEST Program at Lassonde School of Engineering
All prizes must be accepted as awarded (with no substitutions), and may not be sold, transferred, or converted into cash. The winner(s) will be solely responsible for all costs associated with obtaining or redeeming the prize(s).
Prepr will make reasonable efforts to deliver prizes to the addresses/accounts provided by entrants. However, Prepr cannot guarantee that any prizes returned to Prepr due to non-delivery at the provided address will be re-sent to the prizewinner.
Cancellation
If for any reason Prepr cannot or otherwise decides to not run or cease to run the Challenge as planned (including as a result of bugs, tampering, unauthorized intervention, fraud, technical failures, infection by computer virus or any other cause that corrupts, impairs or affects the administration, security, fairness, integrity, or proper conduct of this Challenge) Prepr may cancel, modify, extend or suspend the Challenge. In that event, Prepr may award prizes at random from among the eligible entries received up to the time of the impairment, or award no prizes.
9. Intellectual Property Rights
The Challenge is a an open challenge. You will retain the intellectual property rights in the Project you submit. However, you hereby grant to Prepr an unrestricted, royalty-free, perpetual, irrevocable, worldwide, sublicensable (to multiple tiers), assignable, licence (but not the obligation) to reproduce, communicate by telecommunication or other method, modify, display, transmit, publicly perform, make derivative works of, and otherwise use the Project (in whole or in part) without any fee or other form of compensation, and without further notification or permission, for the following purposes:
(a) administering the Challenge;
(b) identifying you by name as the creator of the Project;
(c) displaying the winning entries in the Challenge; and
(d) advertising in any media, including to advertise the Challenge, future challenges, and the products and services of Prepr.
(e) Agree to license the work from the challenge under an open license agreement
10. Publicity
Except where otherwise prohibited by law, participation in the Challenge constitutes your consent for Prepr to use your name, home town, photograph and video images for promotional purposes without further notification, permission, payment or consideration.
11. DISCLAIMERS, LIABILITY AND INDEMNIFICATION
PREPR DOES NOT ACCEPT LIABILITY FOR ANY LOSS OR DAMAGE OF ANY PROJECT OR FOR ANY OTHER LOSS OR DAMAGE RESULTING DIRECTLY OR INDIRECTLY FROM YOUR PARTICIPATION IN THE CHALLENGE OR YOUR RECEIPT, USE OR REDEMPTION OF ANY PRIZE(S), OR YOUR INABILITY TO RECEIVE, USE OR REDEEM ANY PRIZE(S).
PREPR IS NOT RESPONSIBLE FOR:
(1) INCORRECT OR INACCURATE TRANSCRIPTION OF ENTRY INFORMATION OR LATE, LOST, INCOMPLETE, MISDIRECTED ENTRIES, OR ENTRIES RECEIVED THROUGH IMPERMISSIBLE OR ILLEGITIMATE CHANNELS;
(2) TECHNICAL FAILURES OF ANY KIND, INCLUDING THE MALFUNCTIONING OF ANY TELEPHONE, COMPUTER, NETWORK, HARDWARE OR SOFTWARE;
(3) THE UNAVAILABILITY OR INACCESSIBILITY OF ANY SERVICE;
(4) UNAUTHORIZED HUMAN INTERVENTION IN ANY PART OF THE ENTRY PROCESS OR THE CHALLENGE;
(5) ELECTRONIC OR HUMAN ERROR WHICH MAY OCCUR IN THE ADMINISTRATION OF THE CHALLENGE OR THE PROCESSING OF ENTRIES; OR
(6) ANY INJURY OR DAMAGE TO PERSONS OR PROPERTY, INCLUDING YOUR COMPUTER, WHICH MAY BE CAUSED, DIRECTLY OR INDIRECTLY, IN WHOLE OR IN PART, FROM YOUR PARTICIPATION IN THE CHALLENGE OR FROM DOWNLOADING OR USING ANY MATERIAL PROVIDED BY PREPR.
EXCEPT TO THE EXTENT PROHIBITED BY LAW, PREPR WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES IN CONNECTION WITH THE CHALLENGE OR THESE RULES. WITHOUT LIMITING ANY OF THE FOREGOING, PREPR’S SOLE LIABILITY TO YOU WILL BE FOR DIRECT DAMAGES NOT TO EXCEED THE AMOUNT PAID BY YOU TO PARTICIPATE IN THE CHALLENGE.
PREPR IS NOT RESPONSIBLE FOR ANY DAMAGES ARISING OUT OF ANY DISPUTE YOU MAY HAVE WITH YOUR TEAM MEMBERS OR ANY OTHER PERSON.
YOU HEREBY RELEASE AND AGREE TO INDEMNIFY AND HOLD HARMLESS PREPR AND ITS EMPLOYEES, DIRECTORS, OFFICERS, AFFILIATES, AGENTS, JUDGES AND ADVERTISING AND PROMOTIONAL AGENCIES FROM ANY AND ALL DAMAGES, INJURIES, CLAIMS, CAUSES OF ACTIONS, LIABILITY OR LOSSES OF ANY KIND (INCLUDING ACTUAL LEGAL FEES AND EXPENSES), KNOWN OR UNKNOWN, ABSOLUTE OR CONTINGENT, NOW OR IN THE FUTURE ARISING FROM OR RELATED TO:
(A) YOUR FAILURE TO COMPLY WITH ANY OF THESE RULES;
(B) ANY MISREPRESENTATION YOU MAKE UNDER THESE RULES OR OTHERWISE TO PREPR;
(C) YOUR PARTICIPATION IN THE CHALLENGE; OR
(D) YOUR RECEIPT, USE OR REDEMPTION OF ANY PRIZE, OR YOUR INABILITY TO RECEIVE, USE OR REDEEM ANY PRIZE.
12. Personal Information Consent
You consent to Prepr or Sponsor using and disclosing your personal information for the purposes of administering the Challenge; advertising the Challenge and any future Challenges and any of Prepr’s products and services; and for the other purposes described in these rules.
13. Law
These rules will be governed by and construed in accordance with the laws of the Province of Ontario, Canada and the federal laws of Canada applicable in Ontario.
14. Disputes
All disputes, claims and causes of action arising out of or connected with the Challenge, prizes or these rules will be resolved individually, without resort to any form of class action, and exclusively by the appropriate court of the Province of Ontario, Canada.
15. Apple is not a sponsor of this initiative.
